Merger and acquisition, due diligence
Before the client implements mergers and acquisitions, we can conduct legal feasibility investigations on the target companies and projects to be acquired by the client, including foreign capital access and restrictions, anti monopoly or potential transaction supervision and approval requirements, and understand foreign investment in relevant industries and business models. In the early stage of the M&A transaction, we assist the client in pre negotiation, sign legal documents such as “Confidentiality Agreement”, “Letter of Intent” or “Framework Agreement”, and build an investment and transaction structure. Conduct legal due diligence on the target company and the target project, evaluate the M&A risks for the client and propose solutions. After completing the legal due diligence, we will, in light of the discovered problems and risks, specifically draft, review, and revise a series of transaction documents such as equity acquisition agreements, asset acquisition agreements, third party supervision agreements, shareholder or board of directors’ resolutions, power of attorney, etc., assist the client in negotiating, signing transaction documents and completing the closing, and at the same time issue legal opinions on specific matters according to the client’s needs.
