Scope of Services

We are aware of the differences between Chinese and Thai laws and cultures. For Chinese investors coming to Thailand, we provide comprehensive solutions for possible problems arising from the establishment to the corporate governance process due to the differences in laws and cultures of the two countries. We are good at providing cross border investment related services in Thailand for clients from all over the world. We have rich practical experience in building investment framework structures, tax planning, share or asset acquisitions, high end civil and commercial litigation, employment compliance and labor litigation, drafting and revising business contracts, business negotiations, screening partners or projects on behalf of clients; and we have large scale in depth practical experience in manufacturing, infrastructure, real estate and construction industries, automobile and upstream and downstream supply chains, medical devices, international trade and other fields. In addition, in order to serve clients better and more comprehensively, we have newly established a financial market department to provide clients with strategic consulting and solutions, and support enterprises in financing, mergers and acquisitions, restructuring and listing and other businesses.

  • Government affairs and public crisis handling

    After many Chinese enterprises land in the Thai market, due to factors such as management habits, cultural backgrounds, and economic development levels, they often face the situation of “being unaccustomed to the local environment”. Timely and effectively safeguarding the legitimate rights and interests of enterprises, enhancing the social responsibility of enterprises, jointly establishing a good image of overseas enterprises including Chinese enterprises among the Thai government and the public, and promoting the long term development of enterprises in Thailand is one of the goals pursued by Dato Law Firm and Accounting Firm. When implementing the above mentioned goals, we continuously optimize the government affairs and public crisis handling teams and working methods, and provide comprehensive and perfect solutions from making suggestions on legislative policies, pre event assessment of public crisis events, strategy formulation, public guidance, to post event continuous improvement. For example: making suggestions for the online application system of the Thai Ministry of Commerce; providing solutions for a vaccine crisis in China. In addition, we also provide legal consultation and suggestions for the legal and compliant development of some Chinese government departments and organizations in Thailand, and participate in the compilation of country specific investment guides, legal manuals, etc.

  • BOI, FBL and other license application services

    The BOI (Board of Investment) investment promotion measures are the investment preferential rights and interests granted by the Thailand Board of Investment to investors in specific projects based on relevant Thai laws and regulations; FBL (Foreign Business License), that is, the foreign business license, is a business license issued by the Ministry of Commerce of Thailand to foreign funded companies / investors, allowing them to engage in specific restricted category businesses in Thailand. Both can enable foreign investors to achieve 100% foreign capital controlled operation in the approved business areas. Moreover, the acquisition of BOI preferential rights and interests also enables investors to obtain corresponding tax and non tax preferential rights and interests. Before the client makes an investment, we will, according to the client’s investment plan and the business activities to be carried out in Thailand, evaluate the feasibility for the client to apply for BOI or FBL to achieve controlling share operation. For clients applying for BOI or FBL, we will provide professional guidance throughout the application process, assist the client in preparing application materials, and have interviews with officials. For clients who have obtained BOI investment preferential rights and interests or FBL, we can also, as required, provide guidance and suggestions on post compliance and maintenance for the client. In addition, according to the client’s business needs, we also assist the client in handling and obtaining IEAT related certificates, import and export licenses and other compliance operation documents.

  • Enterprise bankruptcy reorganization and liquidation

    The Dato lawyer team provides comprehensive bankruptcy and liquidation legal services for enterprises.   • Personal data protection

    In 2019, Thailand promulgated the Personal Data Protection Act (hereinafter referred to as “PDPA”), which officially came into effect in June 2022. In business operations, data controllers and data processors usually process personal data with their stakeholders. As business operators, enterprises need to be aware that even if the interaction between these stakeholders is essentially B2B in nature, the vast majority of personal data generated or collected in these interactions also fall within the jurisdiction of PDPA. Therefore, enterprises must have a clear understanding of the provisions, mechanisms, and methods of PDPA so as to establish a sound personal data compliance system and strictly abide by the provisions of the Personal Data Protection Act.     The Dato Admiralty and Maritime Department consists of experienced professional lawyers and senior consultants from Thailand, China, the United Kingdom and other countries.   • Construction engineering

In terms of pre event risk prevention, we can review bidding documents, conduct due diligence on the creditworthiness of engineering projects and employers, draft and modify engineering contracting contracts, clearly quantify core issues such as the payment deadline of contract project funds, engineering quality, progress acceptance, and stop payment (claim) of letters of guarantee, safeguard the legitimate rights and interests of clients, and reduce risks and disputes in the performance process. During the implementation of the project, in response to the problems reported by the client, we analyze risks and legal liabilities for the client, study solutions, and assist the client in fixing and retaining evidence, laying the foundation for the resolution of disputes. When the client has construction engineering disputes, we formulate effective and feasible plans for the client, assist the client in sorting out evidence materials, and take necessary legal measures to represent the client in claiming rights.

  • Real estate

    We provide clients with solutions for investment access and framework building of real estate projects such as office buildings, hotels, apartments, villas, resorts, and golf courses, conduct due diligence on land use planning, etc., draft land acquisition agreements and assist in handling transfer procedures, assist clients in financing and issue relevant legal opinions; draft “Commercial Housing Sales Contracts”, and assist in handling procedures such as housing bank mortgage, mortgage, and transfer.
